Welcome to Nexus Gold Circle (the “Website”, “Club”, “we”, “us”, or “our”). These Terms of Use govern your access to and use of our website, applications, physical and digital products, and your official membership.

By accessing our website, applying for membership, or completing a purchase, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree with any part of these terms, you must immediately cease using our services.

1. ELIGIBILITY AND MEMBERSHIP CAP

  • Application & Approval: Admission to Nexus Gold Circle is highly exclusive and subject to application review. We reserve the absolute right to accept or reject any applicant without providing a reason.

  • Membership Cap: Official membership is strictly limited to a maximum capacity of 5,000 active individuals globally. Once this cap is reached, new applicants will be placed on a selective waiting list.

2. FEES, BILLING, AND REFUND POLICY

  • Fees: By purchasing a membership, you agree to pay the designated activation fees and any recurring membership dues associated with your profile. All fees are quoted in USD unless specified otherwise.

  • Payment Authorization: You authorize us (via our third-party payment processors) to charge your designated payment method for all applicable fees.

  • Strict No-Refund Policy: Due to the instant provisioning of digital assets, exclusive digital access, and the customized manufacturing of physical products (including your bespoke NFC Member Card and Signature Kit), all membership fees, initiation fees, and purchases are strictly non-refundable and non-transferable.

3. INTELLECTUAL PROPERTY RIGHTS

  • Ownership: All content, designs, branding, logos, trademarks, text, graphics, and code on this Website are the exclusive intellectual property of Nexus Gold Circle and its licensors.

  • Restrictions: You are strictly prohibited from copying, reproducing, distributing, modifying, or exploiting any part of our platform or physical assets without prior explicit written consent from us.

4. MEMBER CONDUCT AND DIGITAL AUTHENTICATION

  • Account Security: You are entirely responsible for maintaining the confidentiality of your digital profile and authentication details.

  • Physical NFC Cards: Your serialized physical NFC card is personal to you. Lending, sharing, or selling your physical member card or account credentials to grant unauthorized individuals access to our digital infrastructure or exclusive benefits is strictly forbidden and grounds for immediate termination without a refund.

  • Termination: We reserve the right, at our sole discretion, to suspend or permanently terminate your membership and access to the platform at any time if you violate these terms, engage in fraudulent behavior, or act against the reputational interests of the Club.

5. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Nexus Gold Circle, its founders, affiliates, and service providers shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your membership, your inability to access the platform, or any physical events and third-party benefits associated with the Club. Our total liability to you for any claims arising under these terms shall not exceed the amount you paid to us during the twelve (12) months preceding the claim.

6. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Nexus Gold Circle and its affiliates from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your violation of these Terms of Use, your misuse of the platform, or your violation of any third-party rights.

7. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms of Use shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law principles. Any legal action, dispute, or proceeding arising out of or relating to these terms shall be brought exclusively in the competent courts of Tel Aviv, Israel, and you hereby consent to such exclusive jurisdiction.

8. MODIFICATIONS TO TERMS

We reserve the right to update, change, or replace any part of these Terms of Use at our sole discretion at any time. The most current version of the terms will always be posted on this page. Your continued use of the platform following the posting of any changes constitutes binding acceptance of those modifications.
